Investment Banks

Investment Banks are experts at taking an “As Is” business and implementing a market value transaction. They don’t identify, invest in, nor implement operational improvements to increase the market value.

Private Equity

Private Equity groups invest in growing companies that have minimum Revenue & EBITDA metrics for a longer term investment return. They don’t grow and coordinate exit transactions within a 18-36 month period and certainly don’t bring executive and operational expertise.

Venture Capital

Venture Capital groups identify strong, young companies that are well-run for a future home-run return. They do not bring operational expertise and coordinate an exit transaction within a 18-36 month period.

Consultants

Consultants are a key component to a business needing external resources to improve operational performance. Most consultants aim for Six Sigma, Lean or other metrics with the goal of maximizing their fees over a long period of time. They are not experts in market values and certainly don’t coordinate Optimum Value Exits™.

Three Steps to an Optimal Exit

Build Your PROVE it Canvas™

A detailed analysis and diagnosis resulting in a Personalized Roadmap to an Optimum Value Exit that defines what the optimum value may be, and what is required to actually achieve it — including operational gaps, buyer value metrics, and capital injection. The Optimal Exit Timing™ may be six months or 36 months depending on the results of the PROVE it Canvas™.

Run Optimum Value Exit Engagement

Using the PROVE it Canvas™, we build the pre-paved path to an optimal exit by executing the plan; We define a strategic team for operational improvement (as needed); deliver capital injection; and grow the business to its Optimum Value and coordinate a seamless exit. This process could take 6-24 months depending on the results of the PROVE it Canvas™.

Execute Sale Transaction

Regardless of the timing, our focus is to exit your business at the Optimum Value. We will find the strategic buyers that will pay a premium, pre-pave the exit and seamlessly coordinate the M&A event. We are Series 79 licensed and have significant M&A experience and a broad network of investment banking and private equity partners.

Exit Now

If after conversations with the business owners, or after our PROVE it Canvas™ is completed, it is determined that the best timing to sell their business is now, we will engage with the business owner and start pulling together all the necessary components for an immediate Optimum Value Exit™. The timing would be six to nine months to implement the sale.

Tune Up & Sell

If the decision to sell the business is in the near term, but there are various items that need to be tuned up, we will immediately engage with the business owner and prepare for an Optimum Value exit. Depending on the items needed, it could be six to 12 months before the sale would go through.

Grow & Exit

This is our core business offering. After the PROVE it Canvas™ is completed, we will work with the business owner(s) to design and implement a growth strategy that will bring the business to its most acquisition-attractive sale value well above current market pricing, and then seamlessly implement the transaction.

We Acquire Business

In certain circumstances, CAP has identified a significant upside potential, yet the business owner still wants to sell the business right away. In that situation, we may make a very attractive offer to buy the business and leave the business owner in for a carried equity interest as we grow and eventually exit the business.

Our multiple Wealth Management partners are key to business owners exiting at their Optimum Value™.  As outlined in Christopher Riley’s latest book, The Advisor’s Legacy, businesses leave 20% – 40% of their value on the table.

How CAP Prevents 20% - 40% Value Loss Upon Exit

Wealth Management Workshops

Cutwater Advisory Partners Wealth Management Division has multiple partners averaging 25 years’ in the business.  We hold workshops for their business clients so they can see that there is another way to exit a business other than leaving 20%-40% value on the table.  We go through our in-depth process and at the end of the day, come up with an estimated Optimum Value™ for their business.  We have multiple algorithms that help fine-tune the process and can work with up to five business owners in a one-day workshop.

Implementation

After the workshop, we meet with each business owner and decide the best next steps, and the pathway for them to achieve an Optimum Value Exit™.  If it is decided to implement a growth and exit plan, we begin that process immediately and it usually spans 12-18 months.  If the decision is to sell the business immediately, Christopher Riley (Series 79) begins the sale process that day with his investment banking partners.

How CAP Partners with Investment Banking

Most investment bankers will want to sell a business when it is brought to them. However, if the company is not in the ballpark of the owners’ expectations, rather than turning away the prospect, the investment banker can refer the prospect to CAP and we can then assess “why” the value is not meeting the owners’ expectations.

Our process is quick and efficient. We perform our PROVE it Canvas™ and determine the Optimum Value and a personalized roadmap to get there. We then implement the growth plan and seamlessly work with the investment banker to sell the business.

How CAP Partners with Private Equity 

There are multiple portfolio companies under a P/E firm. Not all of those are home runs. When a P/E firm doesn’t want to keep their interest in one of their portfolio companies, we can come in and bring that company to a higher acquisition level and many times have a buyer that will be interested in that company. Or, we may acquire the company if it fits within our engagement criteria.

Additionally, as we are working with multiple companies that are below the start-line for a P/E firm’s metrics.  We will grow that company and turn them into a home run for the P/E firm where they can take the company to new heights. Clients call their attorney when they are assessing options for an exit. Some law firms can do the legal work, but many times neither party really knows what the true value of the company is. CAP then comes in, assesses where the business is at, performs our PROVE it Canvas™ to outline the Optimum Value and Optimal Timing for an exit.
